ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND SF COOPER LTD WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
You represent and warrant that you are at least 16 years of age. If you are under age 16, you may not, under any circumstances or for any reason, access or use the Services. We may, in our sole discretion, refuse to offer the Services to any person or entity and change its eligibility criteria at any time. You are solely responsible for ensuring that these Terms of Service are in compliance with all laws, rules and regulations applicable to you and the right to access the Services is revoked where these Terms of Service or use of the Services is prohibited or to the extent offering, sale or provision of the Services conflicts with any applicable law, rule or regulation. Further, the Services are offered only for your use, and not for the use or benefit of any third party. If you are registering with SF Cooper Ltd on behalf of an entity or a third party, you represent and warrant that you have full authority to bind that entity to these Terms of Service.
In order to use the Services, you must register for an account on the Services (an “Account”). You must provide accurate and complete information and keep your Account information updated. You shall not: (i) select or use as a username a name of another person with the intent to impersonate that person; (ii) use as a username a name subject to any rights of a person other than you without appropriate authorisation; or (iii) use, as a username, a name that is otherwise offensive, vulgar or obscene. You are solely responsible for the activity that occurs on your Account, and for keeping your Account password secure. You may never use another person’s user account or registration information for the Services without permission. You must notify us immediately of any change in your eligibility to use the Services, breach of security or unauthorised use of your Account.
Your personal data will be treated in accordance with our Privacy Policy, available at https://www.simoncooper.me/privacy. To the extent that you are a controller that provides SF Cooper Ltd with personal data of third party data subjects that is subject to the General Data Protection Regulation (GDPR), you agree to the terms contained in the EU Data Processing Addendum, available at https://www.simoncooper.me/dpa.
SF Cooper Ltd shall not be responsible for any Content added, created, uploaded, submitted, distributed, or posted to the Services by users (collectively “User Content”). You acknowledge that all Content, including User Content, accessed by you using the Services is at your own risk. Subject to these Terms of Service, we grant each user of the Services a worldwide, non-exclusive, non-sublicensable and non-transferable licence to use Content solely for purposes of using the Services.
As a condition of use, you promise not to use the Services for any purpose that is prohibited by these Terms of Service. You shall not (and shall not permit any third party to) take any action or distribute any Content that:
infringes any patent, trademark, or copyright;
is unlawful, threatening, abusive, harassing, defamatory, or libelous;
constitutes unauthorised or unsolicited advertising ("spamming");
contains software viruses or any other computer codes designed to disrupt or damage systems.
The Services may permit you to link to other websites, services or resources on the Internet. When you access third party resources, you do so at your own risk. These resources are not under our control, and you acknowledge that we are not responsible or liable for the content or functions of such websites.
Paid Services: Certain Services may be subject to payments. Please see https://www.simoncooper.me for a description of current Paid Services and pricing.
Billing: We use a third-party payment processor to bill you. By choosing to use Paid Services, you agree to pay SF Cooper Ltd, through the Payment Processor, all charges at the prices then in effect.
Recurring Billing: Some Services may consist of recurring period charges. WE MAY SUBMIT PERIODIC CHARGES WITHOUT FURTHER AUTHORISATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE THAT YOU HAVE TERMINATED THIS AUTHORISATION.

THE SERVICES AND CONTENT ARE PROVIDED “AS IS”, “AS AVAILABLE” AND WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.
You shall defend, indemnify, and hold harmless SF Cooper Ltd, our affiliates and each of our employees from all liabilities, claims, and expenses that arise from or relate to your use or misuse of the Site, Services, or Content.
YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND SF COOPER LTD WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. You may opt-out of this provision by notifying SF Cooper Ltd in writing within 30 days of first accepting these Terms.
IN NO EVENT SHALL SF COOPER LTD, NOR OUR DIRECTORS OR EMPLOYEES, BE LIABLE FOR ANY LOST PROFITS, DATA LOSS, OR ANY INDIRECT OR CONSEQUENTIAL DAMAGES. OUR DIRECT LIABILITY IS LIMITED TO THE GREATER OF FEES PAID BY YOU IN THE PREVIOUS THREE MONTHS OR £500.00.
These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales (or as otherwise specified by SF Cooper Ltd). You agree that any dispute arising from these Terms shall be governed by the exclusive jurisdiction of the relevant courts.
We reserve the right, in our sole discretion, to modify or replace any of these Terms of Service at any time by posting a notice on the Site or by sending you notice via e-mail.
Entire Agreement: These Terms are the entire agreement between you and SF Cooper Ltd regarding the Services.
